Zion Yoga Fest Vendor Standards
We appreciate your desire to participate in Zion Yoga Fest.
This is a great opportunity to showcase
your product or service to the many people anticipated to attend this event.
1. ZYF 2024 is an in-person event
2.Compliance with Law: All vendors, sponsors, presenters, excursion offerings,
etc agree to strictly observe all laws and ordinances of the
state of Utah, Washington County Health Department, the festival host city which in any respect
relates to the business conducted by vendors, sponsors, presenters, excursion
offerings , together with all rules and regulations.Willful violation of or failure to comply with any
of
said laws or regulations shall be cause for cancellation of this agreement.
5. A signed release waiver and Indemnification Agreement, payment, and this Agreement
Form completely filled out are due in order to reserve your spot and before Zion Yoga Fest
is able to act on sponsor/vendor packages for your business via sponsor/vendor
agreement. This form can be emailed hello@zionyogafest.com or by signing and submitting
online.
Application Deadline: 15 days prior to event if space is still available.
Receipt of these items is required for this application to be considered.
If applicable for an excursion, Refunds from Zion Yoga Fest will be issued ONLY IF Events
Committee denies application within 30 days of event or event is cancelled. NO REFUNDS will
be given for cancellation by vendors, sponsors, presenters, excursion offerings, if canceled after
30 days before the event. If cancelled before 30 days, $100 of your initial payment will be
refunded. Any cancellations after 30 days are non-refundable. No refunds are offered on
sponsor packages.
6.Taxes, permits, certificates and any licenses required are the responsibility of the
vendor.Vendors are allowed to sell products and are responsible for all taxes associated with su
ch
sales. Free samples of products may be provided. Zion Yoga Fest, LLC. reserves the
right to limit the number and type of vendors.
7. If an excursion offerings has given Zion Yoga Fest a minimum number of participants that
must be met Zion Yoga Fest and Excursion Offering understand that if the minimum number of
participants is not met, Excursion Offering and/or Zion Yoga Fest may cancel said excursion
and any deposit or amount paid by Zion Yoga Fest to the excursion offering will be refunded to
Zion Yoga Fest. If excursion is cancelled, Sponsorship benefits from Zion Yoga Fest are still in
place for excursion offering which may include but not limited to, excursion offering and links
featured on website, social media, email list, handouts, etc. Excursion Offering will not hold Zion
Yoga Fest liable for any cost incurred if Excursion Offerings minimum number of participants is
not met and excursion is cancelled.
Release, Waiver AND Indemnification Agreement
This Release, Waiver and Indemnification Agreement is hereby given
by____________________________________ (“Indemnitor”), on the one hand, in favor of Zion
Yoga Fest, LLC, Event Committee; and all other employees, sponsors, businesses, donors,
volunteers, organizers, venues and fundraisers.
RECITALS WHEREAS, Indemnitor is a vendor/sponsor at Zion Yoga Fest (hereinafter the
“EVENT”); to be held the day of ____________ 20____ , at properties owned, managed,
controlled or rented/leased by Zion Yoga Fest, LLC and Event organizing committee or held
virtually.
WHEREAS, Indemnitor recognizes the potential for risk of harm to persons and property at Zion
Yoga Fest; and WHEREAS, Indemnitor desires that Indemnitees not be at risk for activities of
the vendors at the EVENT, including the activities of Indemnitor,
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, Indemnitor covenants as follows:
AGREEMENT
Indemnitor hereby releases Indemnitees and forever waives Indemnitor’s claims against
Indemnitees for any and all claims, causes of action, damages, demands, penalties, and costs,
including attorney fees that arise in relation to the EVENT. Indemnitor acknowledges that this
Release applies to all claims or causes of action which currently exist or which have existed, or
which may arise or are discovered in the future in relation to Indemnitor’s activities at the
EVENT. Indemnitor intends this to be a complete and total release of all claims, whether known
or unknown, fixed or contingent, or whether the facts hereafter prove to be other than or
different than the facts known by Indemnitor or believed by Indemnitor, and this Release and
Waiver shall be construed as broadly as the law allows to accomplish this stated intention.
Indemnitor represents and agrees that they will take no legal action of any kind against
Indemnitees in relation to the EVENT. Indemnitor shall indemnify and hold Indemnitees
harmless for any and all claims, demands, losses, costs, obligations, and liabilities Indemnitees
may incur or suffer in direct or indirect relation to Indemnitor’s acts or omissions at the EVENT.
Indemnitor shall also indemnify and hold Indemnitees harmless from any and all claims,
demands, losses, costs, obligations and liabilities that Indemnitees may incur or suffer as a
result on Indemnitor’s breach of any agreement, covenant, or warranty in this Agreement.
Indemnitor shall further indemnify and hold Indemnitees harmless from any and all liabilities,
claims, and causes of action arising from operation of the EVENT. The indemnity obligations of
this paragraph shall include indemnity for reasonable attorney fees and court costs incurred.
This Agreement shall be governed by the laws of the State of Utah and shall be binding upon
Indemnitor’s heirs, successors, agents or assigns and shall be for the benefit of (i) Indemnitees,
their employees, officers, agents, affiliates, agents and assigns and (ii) all Zion Yoga Fest, LLC
employees, volunteers, businesses, donors, sponsors, organizers, and fundraisers.
An Excursion offering business as “Indemnitor” agrees to have participants from Event
participating in their excursion sign their own Indemnitor business waiver taking responsibility for
participants in Indemnitors excursion activity as if participants are their own customers and
participants. Indemnitor hereby releases Event and forever waives Indemnitor’s claims against
Event for any and all claims, causes of action, damages, demands, penalties, and costs,
including attorney fees that arise in relation to the excursion.
In the event of a legal dispute, Indemnitor agrees that the dispute must be resolved through
arbitration and that its sole and exclusive venue shall be in Washington County, in the State of
Utah.
